GENERAL TERMS 

LARPA reserves the right to amend this Agreement at any time by posting the amended terms on the LARPA Site, and on the LARPA Official egroups list, or any officially announced successor list. You can join LARPA Official through the LARPA Web Pages. The amended terms shall automatically be effective thirty (30) days after they are initially posted on this site. This Agreement may not be otherwise amended except in a writing signed by both parties. 

MERCHANDISE 

The LARPA GameBank and the GameBank Co-Op are for the exchange of Live Action Roleplaying Games. At this time no other products can be accepted 


TERMS FOR USERS OF GAMEBANK GAMES 

Legal Use: You may use the Games provided for your own entertainment, and the entertainment of others in a recreational fashion. You may charge a registration or admission fee to recoup real expenses for printing, site costs, refreshments, properties, or other reasonable and related expenses. 

Profit: Groups may not run GameBank games for profit without the express written consent of LARPA, or the Author. Profits in excess of reasonable expenses (residual monies) must be remitted to the Author unless other agreements are reached. 

Additional Terms: Some GameBank properties may have additional Terms of use above this agreement. They must be printed prominently in the introduction. You must abide by these terms in order to use the specific property. 

Convention Clause: These events may be run at Conventions by individuals or organizations promoting Live Roleplaying or LARPA, but may not be run as a principal event by the Convention staff or anyone else who is receiving money from the convention admission fees. In other words, you can’t get around the agreement by making the game “free,” but charging admission to the convention where you run it. If you are in doubt, write to the GameBank Administrator. 


Direct Contact: You are always free to contact the author and make any contractual arrangement that you wish to run the game. Any private agreement with the author supersedes this GameBank license. 

Disclaimer: LARPA and our vendors provide this website and GameBank services, "as is" and without any warranty or condition, express or implied. Our contributors and we specifically disclaim the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

TERMS FOR CONTRIBUTORS OF GAMEBANK GAMES 

General Terms: Contribution terms are set out in order to ensure that the GameBank is fair to everyone. LARPA wants to protect the interests of players and GMs who receive the games, and also of the GMs who are kind enough to donate them. 

Acceptance of Contributions: LARPA will accept any Contributions to the GameBank, except as noted below. Anyone may use the material (subject to limitations of this license) 

Reproduction: Anyone may copy the material (subject to limitations of this license) 

Additional Licensing Terms: The Contributor may set any reasonable licensing terms for the work establishing a maximum charge, specifications on acknowledgement of the authors, or any other financial or business terms. LARPA reserves the right to refuse any offer which has terms that are deemed unreasonable by the GameBank Administrator. 

Withdrawal: The contributor may withdraw the game from the GameBank, however LARPA cannot recall copies already distributed. 

Alterations: LARPA may alter the appearance of the material, and add explanatory notes, but shall not alter the original material without informing the author. 

LARPA Responsibilities to Contributors 

LARPA will make a good faith effort to insure that the game is utilized according to the terms established. 

Copyrights remain the property of the Author. LARPA will provide any assistance possible to defend the author’s copyrights against any infringement 

Co-op 

Additional terms apply to the Co-op (which allow sales of Games) 

LARPA GameBank Co-Op Terms 


Sales through the GameBank Co-op: The Co-op Site serves as a venue for vendors of LARPs to conduct sales and for sellers to purchase their products. LARPA does not participate in, and is not involved in the actual transaction between Buyers and Sellers. The place of performance for Co-op items is subject to the laws of the applicable state or jurisdiction. 

Release: In the event you have a dispute with one or more buyer/sellers, you hereby agree to release LARPA (including our agents, officers, employees, subsidiaries, parent and affiliated companies) from any and all claims, demands and damages (including actual, special and consequential) of every kind and nature, now known or arising in the future, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected to such disputes 

Buyer Responsibility: You the Buyer have sole responsibility for verifying the item meets your satisfaction. LARPA has no control over the quality, safety or legality of items advertised, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to buy items. 

LARPA cannot and does not control the information provided by other buyer/sellers, which is made available through our system. Information posted by other buyer/sellers may be offensive, harmful or inaccurate, and in some cases will be mislabeled ordeceptively labeled. We expect that you will use caution -- and common sense -- when using LARPA. 

Feedback: LARPA encourages Sellers and Buyers to use its feedback system to evaluate the person you are dealing with. It is perfectly permissible to post very negative comments, however LARPA reserves the right to delete actively abusive or profane posts. Use businesslike language in posting feedback. Determination of abusive or profane is at the sole discretion of LARPA. 

Direct Communication: LARPA encourages you to communicate directly with your trading partner to help you evaluate with whom you are dealing. 

No Guarantee of Service or Warranty: LARPA does not guarantee continuous, uninterrupted or secure access to our services, as operation of our site may be interfered with by numerous factors outside of our control. 

Services Provided “As Is” : LARPA and our contributors/vendors provide this website and GameBank services, "as is" and without any warranty or condition, express or implied. Our contributors/vendors and we specifically disclaim the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. 

Limit of Liability: In no event shall our contributors/vendors or we be liable for lost profits or any special, incidental or consequential damages (however arising, including negligence) arising out of or in connection with this agreement. The liability of our contributors/vendors, to you or any third parties in any circumstance is limited to the amount of payment. 

Indemnification: You agree to defend, indemnify and hold harmless LARPA from and against any and all liabilities, claims, expenses, attorney fees, damages, causes of action, suits or judgments arising out of your use of the LARPA Site. 

Buyer/Seller Communications: LARPA does not edit or authenticate Buyer/seller Communications. You are solely responsible for Buyer/seller Communications. LARPA is a passive conduit for the online distribution and publication of Buyer/seller Communications. LARPA reserves the right to take any action it deems necessary or appropriate, in its sole discretion, regarding Buyer/seller Communications its believes may create liability for LARPA, or may cause LARPA to lose (in whole or in part) the services of our ISPs or other contributors/vendors. Buyer/seller Communications: 

a. shall be accurate and truthful; and, 

b. shall not infringe upon any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; and, 

c. shall not violate any federal, state or local law, statute, ordinance or regulation 
(including without limitation, those laws governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); 

d. shall not be defamatory, trade libelous, threatening or harassing; 

e. shall not contain any viruses, trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. 

General Listing Items - Limited Warranty: You warrant that if you place an item on the LARPA Site as a Seller, that item is merchantable; you possess good title or legal copyrights, and any information you provide concerning the goods is reasonably accurate. 

General Compliance with Laws: You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your listing, purchase and sale of items. 

No Agency: You and LARPA are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement. 

Prohibited Activities: 

a. Posting information, which is defamatory, illegal, unlawful, harassing, as determined by LARPA in its sole discretion; 

b. The use of any process, device, software or routine to interfere or attempt to interfere with the proper working of the LARPA Site or any sale being conducted on our site; 

c. Any action which imposes an unreasonable or disproportionately large load on the LARPA Site. 

Correction: LARPA may request that you make alterations to the description of your sales. If you refuse to do so, LARPA may suspend or terminate your sellership. LARPA may suspend your sellership until you have made corrections at its sole discretion. 

Breach: Without limiting any other remedies or rights, LARPA reserves the right to suspend or terminate your buyer/sellership and any of your current sales immediately, without notice, and in its sole discretion: 

a. if you breach this Agreement; 

b. if LARPA is unable to verify or authenticate any information you provide, or 

c. if you engaged in fraudulent activity in connection with our site. 

Survival: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced.
